Senior Consultant - Hydrocarbon Lawyer Specialist

**Key Responsibilities** * Evaluate partnership models to ensure compliance with regulatory, technical, and commercial standards. * Provide legal and regulatory support during pre\-tender and tender stages, ensuring partnership agreements are legally sound and aligned with KOC objectives. * Draft Terms \& Conditions for partnerships based on the approved business model and in coordination with relevant KOC stakeholders, including technical, commercial, and tax inputs. * Monitor and support implementation of partnership Terms \& Conditions, including establishment of Joint Operating Companies (JOCs), where applicable. * Advise on matters related to partnership Terms \& Conditions, including amendments, renewals, and relinquishments. * Regularly review and update Terms \& Conditions to reflect contractual amendments, renewal requirements, and evolving legal requirements. * Advise on regulatory frameworks affecting partnerships throughout tender negotiations and contract execution. * Conduct legal and reputational due diligence on potential partners, including compliance history, regulatory standing, and alignment with KOC standards and objectives. * Support the establishment and maintenance of a regulatory library for partnerships. * Coordinate with internal and external stakeholders to review regulatory and contractual policies relevant to partnership agreements. * Monitor compliance across partnership activities and review partner compliance reports. * Ensure partnership agreements and related activities comply with applicable regulatory standards and provide risk management guidance where required. * Liaise with KOC and external stakeholders to support development, implementation, and compliance of partnership agreements. * Provide ongoing legal and regulatory advisory support on matters affecting partnerships. Consultant Job Descriptions(3\) **Minimum Requirements** * **Juris Doctor (JD) or equivalent law degree** from a reputable institution. * Minimum **20\+ years of experience as a practicing lawyer**, with a substantial portion of that experience in the oil \& gas industry. * A focus or coursework in **international and Kuwait business law, energy law, or environmental law** is preferred. * Additional certifications in **Energy Law or Contract Management compliance** are beneficial.
